Historical Background and Establishment of SEBI
The capital market in India mobilizes household savings into productive corporate investments. While the Reserve Bank of India oversees the banking system and money market, the Securities and Exchange Board of India (SEBI) serves as the supreme regulator of the securities and capital markets.
Before SEBI was established, the capital market was governed under the Capital Issues (Control) Act, 1947, administered by the Controller of Capital Issues (CCI) under the Ministry of Finance. The CCI fixed the price and volume of new share issues by companies, leaving little room for market-determined pricing and offering minimal protection to retail investors.
To build an efficient and transparent capital market, the Government of India constituted SEBI as a non-statutory body on April 12, 1988 through an administrative resolution. Four years later, with economic liberalization underway and the need for stronger market policing, SEBI was granted full statutory autonomy through an Ordinance, followed by the enactment of the Securities and Exchange Board of India Act, 1992 (SEBI Act) on April 4, 1992 (effective retroactively from January 30, 1992).
The Preamble and the Triple Mandate
The legal mandate of SEBI is enshrined in the Preamble of the SEBI Act, 1992. The Preamble outlines a distinct three-fold objective:

Composition of the SEBI Board
Under Section 4 of the SEBI Act, 1992, the general superintendence, direction, and management of the affairs of SEBI vest in a Board of Members comprising nine individuals:
- A Chairperson: Appointed by the Central Government, possessing high standing and expertise in law, finance, economics, or securities markets.

The Appellate Mechanism: Securities Appellate Tribunal (SAT)
To ensure that SEBI does not misuse its extensive powers, the SEBI Act provides a robust system of legal checks and balances.
Under Section 15K of the SEBI Act, 1992, the Central Government established the Securities Appellate Tribunal (SAT). SAT is an independent statutory tribunal based in Mumbai that hears and decides appeals against orders passed by SEBI or its Adjudicating Officers:
- Filing Window (Section 15T): Any person aggrieved by an order of SEBI can file an appeal before the SAT within 45 days from receiving the order.

Regulation of Stock Exchanges and Market Infrastructure
Stock exchanges and depositories form the operational backbone of the securities market. SEBI regulates these entities under the joint framework of the Securities Contracts (Regulation) Act, 1956 (SCRA), the SEBI Act, 1992, and the Depositories Act, 1996.
Corporatisation and Demutualisation of Stock Exchanges
Historically, Indian stock exchanges functioned as non-profit broker clubs or mutual associations. In this older setup, stockbrokers simultaneously owned the exchange, managed its executive committee, and traded on its floors. This unified structure created severe conflicts of interest, often leading brokers to halt trading or settle disputes in their own favor.
To resolve this governance crisis, SEBI mandated the Corporatisation and Demutualisation of all Indian stock exchanges:
- Segregation of Functions: Ownership, executive management, and trading rights were legally separated into three independent spheres.

Modern Electronic Depositories and the Depositories Act, 1996
Before 1996, the Indian stock market relied on paper share certificates. Investors faced severe systemic problems, including lost certificates, forged signatures, stolen transfer deeds, postal delays, and stamp duty disputes (popularly called “bad delivery” risk).
To establish a paperless and secure market, Parliament passed the Depositories Act, 1996, which introduced the electronic book-entry settlement system:
- Dematerialisation (Demat): The process of converting physical paper share certificates into digital electronic balances held in secure vaults.
