International Financial Services Centres Authority (IFSCA)
Comprehensive guide to the International Financial Services Centres Authority (IFSCA), the IFSCA Act 2019, unified regulatory powers, GIFT City ecosystem, and offshore banking.
Introduction to Offshore Finance and the IFSCA
Global financial centres such as London, Singapore, Dubai, and New York channel trillions of dollars in cross-border capital every day. For decades, Indian corporate houses and financial entities had to travel to foreign jurisdictions to raise foreign currency debt, hedge global commodity risks, or issue international equity instruments. This outward flow of financial business led to substantial economic loss for India in the form of fees, high-value employment, and capital access friction.
To bring this offshore financial business back within Indian shores, the Government of India envisioned a specialized financial enclave that could operate under global market standards while remaining physically within the country. This vision led to the creation of the International Financial Services Centre (IFSC) at Gujarat International Finance Tec-City (GIFT City) in Gandhinagar, Gujarat.
Operating an offshore financial hub under multiple domestic regulators proved cumbersome. Financial institutions setting up operations in the IFSC had to seek independent approvals from the Reserve Bank of India (RBI), the Securities and Exchange Board of India (SEBI), the Insurance Regulatory and Development Authority of India (IRDAI), and the Pension Fund Regulatory and Development Authority (PFRDA). To eliminate this friction, the Parliament enacted the International Financial Services Centres Authority Act, 2019, establishing the International Financial Services Centres Authority (IFSCA) as India’s maiden unified offshore financial regulator.
Genesis and Statutory Mandate of the IFSCA
The journey toward creating a dedicated offshore financial regulator began with the realization that domestic regulations, designed for domestic macroeconomic stability, could not offer the agility and flexibility needed to compete with international financial hubs like Dubai International Financial Centre (DIFC) or Singapore.
Historical Evolution and Enactment
Prior to 2020, offshore financial units operating in GIFT City were governed by their respective domestic sector regulators:
- Banking units were regulated by the Reserve Bank of India (RBI) under the Banking Regulation Act, 1949.
- Stock exchanges and intermediaries were supervised by the Securities and Exchange Board of India (SEBI) under the SEBI Act, 1992.
- Insurance offices were supervised by the Insurance Regulatory and Development Authority of India (IRDAI) under the IRDAI Act, 1999.
- Pension schemes were overseen by the Pension Fund Regulatory and Development Authority (PFRDA) under the PFRDA Act, 2013.
This multi-regulator model created operational delays and overlapping compliance demands. To resolve this, the Government introduced the International Financial Services Centres Authority Bill in Parliament. The bill received the assent of the President of India on December 19, 2019, becoming the IFSCA Act, 2019. The Central Government officially notified the establishment of the IFSCA on April 27, 2020, with its permanent headquarters situated at GIFT City, Gandhinagar, Gujarat.
Core Statutory Mandate
Section 12 of the IFSCA Act, 2019 defines the core mandate of the Authority:
- Regulation: To regulate financial products (such as securities, derivatives, and deposits), financial services (such as asset management, insurance, and lending), and financial institutions that were previously regulated by domestic financial regulators in an IFSC.
- Development: To actively promote and develop IFSCs into globally competitive financial hubs by benchmarking regulatory practices against the world’s leading offshore financial jurisdictions.
- Single-Window Supervision: To serve as a single-window regulatory gateway for all domestic and overseas entities setting up business in the IFSC, eliminating the need to approach multiple authorities.
Organizational Structure and Governance of IFSCA
Under Section 5 of the IFSCA Act, 2019, the Authority operates under a collective governing board that brings together cross-sector regulatory expertise. Because offshore financial hubs deal with hybrid financial products that blend banking, securities, and insurance, the board structure ensures direct representation from every domestic financial regulator.
Composition of the Authority
The governing board consists of nine members appointed by the Central Government:
| Member Category | Number of Members | Appointing / Nominating Body |
|---|---|---|
| Chairperson | 1 | Appointed by the Central Government |

Unified Powers and Transfer of Regulatory Authority
The primary statutory innovation of the IFSCA Act is the complete transfer of regulatory powers from domestic regulators to the IFSCA within the territorial boundaries of an IFSC.
Section 13 of the IFSCA Act, 2019 states that all powers exercisable by the appropriate regulators under specified financial statutes are exercisable exclusively by the IFSCA for financial products, services, and institutions located in an IFSC.
The First Schedule: Transfer Across 14 Central Statutes
The First Schedule of the IFSCA Act lists the appropriate regulators and their corresponding Central Acts transferred to the Authority:
| Appropriate Regulator | Transferred Statutes (14 Central Acts) |

The GIFT City IFSC Ecosystem and Landmark Initiatives
The physical home of India’s first IFSC is Gujarat International Finance Tec-City (GIFT City), situated on the banks of the Sabarmati River between Ahmedabad and Gandhinagar. GIFT City is structured into two distinct zones:
- Domestic Tariff Area (DTA): Governed by domestic Indian laws, catering to local businesses and general commercial infrastructure.
- Special Economic Zone (SEZ): Designated as the GIFT International Financial Services Centre (GIFT IFSC), which operates as an offshore financial territory governed exclusively by the IFSCA.
Several landmark market institutions and regulatory frameworks have transformed GIFT City into a vibrant global financial marketplace.
International Banking Units (IBUs)
Under the IFSCA (Banking) Regulations, 2020, commercial banks operate in the IFSC by setting up International Banking Units (IBUs). An IBU functions as a specialized overseas banking branch of a parent bank (either an Indian bank or an international foreign bank).
- Minimum Capital: The parent bank must provide a minimum capital of USD 20 million to the IBU on an unimpaired basis.
- Home Regulatory Approval: The parent bank must secure a No Objection Letter (NOL) from its home regulator (such as RBI for Indian banks) and furnish an unconditional undertaking to meet all liquidity needs of the IBU.
- Currency of Operation: IBUs operate entirely in freely convertible foreign currencies (primarily US Dollars). Transactions in Indian Rupees are restricted to meeting local administrative expenses.
- Core Operations: IBUs provide External Commercial Borrowings (ECBs) to Indian corporates, arrange cross-border syndicated loans, issue foreign currency bank guarantees, and manage trade finance instruments like factoring and forfaiting.
Global Capital Markets and the GIFT Nifty Transition
GIFT City hosts two international stock exchanges: NSE International Exchange (NSE IX) and India International Exchange (India INX), a subsidiary of the Bombay Stock Exchange (BSE).
- The GIFT Nifty Milestone: For decades, international investors traded Indian equity index derivatives on the Singapore Exchange (SGX) as “SGX Nifty”. On July 3, 2023, the entire multi-billion-dollar liquidity pool officially migrated from Singapore to GIFT City under the NSE IX-SGX Connect framework.
- Rebranding and Hours: Rebranded as GIFT Nifty, these contracts trade for nearly 21 hours every day across two sessions (6:30 AM to 3:40 PM IST, and 4:35 PM to 2:45 AM IST the following day). This extensive trading window allows global investors across Asia, Europe, and the Americas to trade Indian equities in US Dollars, making GIFT Nifty the premier global sentiment indicator for Indian markets.
- Direct Listing of Indian Companies: In January 2024, the Ministry of Finance and Ministry of Corporate Affairs notified landmark rules enabling public Indian companies (both listed and unlisted) to directly issue and list their equity shares on international stock exchanges in GIFT IFSC. This provides Indian companies direct access to global foreign capital without needing American Depository Receipts (ADRs) or Global Depository Receipts (GDRs).
India International Bullion Exchange (IIBX)
Launched on July 29, 2022, the India International Bullion Exchange (IIBX) is India’s first international bullion exchange. India is one of the world’s largest consumers of physical gold, yet historically had no influence over international bullion pricing.
- Direct Gateway for Jewellers: Prior to IIBX, only designated banks and nominated government agencies could import gold into India. Under IFSCA regulations, notified entities known as Qualified Jewellers (QJs) can trade on IIBX and import gold directly.
- Bullion Depository Receipts (BDRs): Gold traded on IIBX is stored in IFSCA-approved secure vaults and represented by digital Bullion Depository Receipts (BDRs). This ensures transparent, electronic price discovery, verifiable purity, and rapid settlement.
Aircraft and Maritime Ship Leasing
Historically, Indian commercial airlines leased over 80 percent of their commercial aircraft fleets from leasing hubs in Dublin (Ireland) and Singapore. This resulted in significant foreign currency outflow from India.
To address this, the Government classified aircraft leasing as a financial product under the IFSCA Act in 2020, followed by a dedicated ship leasing framework in 2022. Through targeted tax incentives, IFSCA has enabled domestic airlines and shipping operators to lease aircraft, helicopters, commercial vessels, and engines directly out of GIFT City.
International Branch Campuses of Foreign Universities
Recognizing the need for high-end financial and quantitative talent, the Central Government permitted foreign educational institutions to set up International Branch Campuses (IBCs) in GIFT IFSC under IFSCA regulations:

FinTech Innovation, Sandboxes, and the Special Tax Regime
Offshore financial centres thrive on agility, technology, and fiscal competitiveness. To establish GIFT City as a global FinTech capital, IFSCA instituted progressive innovation sandboxes and an internationally competitive fiscal regime.
The IFSCA FinTech Sandbox Framework
Financial technology firms in the IFSC operate under specialized testing environments:
- FinTech Regulatory Sandbox (FRS): Permits entities to conduct live testing of cutting-edge financial products or business models with a controlled group of real customers, under specific regulatory exemptions granted by the Authority.
- FinTech Innovation Sandbox (FIS): Provides an isolated, non-live testing environment where startups can validate algorithms and financial software using real market data provided by IFSC financial institutions, without needing an immediate physical presence in GIFT City.
- Inter-Operable Regulatory Sandbox (IoRS): Facilitates testing of hybrid financial products that cut across multiple regulatory domains (such as a composite product blending banking and insurance) in coordination with domestic regulators like RBI, SEBI, and IRDAI.
- FinTech Incentive Scheme: Under the IFSCA (FinTech Incentive) Scheme, 2022, eligible startups receive financial grants for Proof of Concept (PoC) development, sandbox testing, and accelerator programs.
Deemed Foreign Territory Status under FEMA
The unique legal foundation of an IFSC rests on its status under the Foreign Exchange Management Act, 1999 (FEMA):
- Under Indian foreign exchange laws, an entity established in the IFSC is treated as a person resident outside India (non-resident).
- All financial contracts, asset sales, and service billings are executed in freely convertible foreign currencies (predominantly US Dollars).
- This structure grants international investors full freedom from domestic exchange controls, allowing seamless inward capital remittance and outward profit repatriation.
Competitive Tax Architecture

| Securities Transaction Tax (STT) | Levied on all domestic stock exchange trades | Nil (100% exempt) on IFSC exchange transactions |
| Commodities Transaction Tax (CTT) | Levied on domestic commodity trades | Nil (100% exempt) on IFSC trades |
| Stamp Duty | Payable on issuance and transfer of securities | Exempt on transactions executed on IFSC exchanges |
| Goods and Services Tax (GST) | Standard GST rates apply (up to 18% on financial services) | Zero-rated for transactions in the IFSC and offshore clients |
